Synopsis of Proposed Changes to the Constitution and Bylaws
The OAMA Board of Directors has completed a review of the Association’s bylaws and suggested updates. Most changes are minor edits for grammar, formatting, and clarity and do not change how the organization operates. A small number of updates are substantive and should be specifically noted for the membership:
The Secretary and Treasurer roles may now be combined into one position if the Board determines it is appropriate. This provides flexibility for the organization based on volunteer and administrative capacity.
References to Fall Conference have been updated to Annual Conference. As the fall “conference season” gets busier, this provides OAMA with the flexibility on when hold their Annual Conference to maximize membership attendance.
Committee language is updated to clarify how conference and ad-hoc committees are formed and how they report to the Board.
Article XII (Amendments) updated to clarify that members may continue to propose bylaw changes, and to allow the Board of Directors to adopt certain amendments as needed for efficient and effective operation, with all Board-adopted changes communicated to the membership.
Members are encouraged to review the full updated bylaws and vote accordingly.
